These Terms of Use (“Terms”) govern your access to and use of the KoneX website, platform, integrations, and related services (collectively, the “Services”).
The Services are operated by AgileNinjas Tech Private Limited, under the brand name “KoneX” (“KoneX”, “we”, “us”, or “our”).
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not access or use the Services.
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity and “you” refers to that entity.

- Scope of the Services
KoneX provides tools that enable online merchants, brands, and service providers to:
Connect and integrate multiple marketplaces and platforms (e.g., Amazon, Flipkart, Myntra, Shopify, WooCommerce, Magento, and custom stores).
Synchronize orders, inventory, pricing, and product catalogs across channels.
Integrate with warehouses, 3PLs, or WMS solutions for fulfillment and shipping label generation.
View dashboards, reports, and seller-specific analytics about their own business operations.
Automate multi-channel ecommerce workflows and reduce manual data entry.
We do not operate a marketplace ourselves and do not act as a seller, buyer, carrier, payment gateway, or financial intermediary.
Your use of each marketplace or third-party service remains subject to that provider’s own terms and policies.
- Eligibility and Account Registration
To use the Services, you must:
Be at least 18 years old;
Have the legal capacity and authority to enter into a binding contract;
Provide accurate and complete registration information;
Keep your login credentials confidential and secure.
You are responsible for all activities that occur under your account. You agree to notify us promptly of any actual or suspected unauthorized use of your account or security breach.
We reserve the right to refuse, suspend, or terminate any account at our discretion where we reasonably believe there is misuse, violation of these Terms, or legal/compliance risk.
- Marketplace and Third-Party Integrations
You may connect third-party accounts (such as Amazon, Flipkart, Myntra, Shopify, WooCommerce, Magento, or other services) to KoneX.
You remain solely responsible for complying with the terms, policies, and rules of those third-party platforms.
Authorization is typically granted via secure OAuth flows or API keys; we do not request or store your marketplace login passwords.
By connecting an account, you authorize AgileNinjas Tech Private Limited, under the KoneX brand, to access and process data from that account solely to provide the Services you have enabled.
If a marketplace or third party modifies or terminates its integration or your access, some features of KoneX may be limited or unavailable.
- Use of Amazon Selling Partner API (SP-API)
If you connect an Amazon Seller or Vendor account, you acknowledge that our use of Amazon Information is subject to:
Amazon’s Selling Partner API License Agreement,
Acceptable Use Policy (AUP),
Data Protection Policy (DPP), and
any other applicable Amazon policies.
AgileNinjas Tech Private Limited, via KoneX:
Accesses Amazon Information only to perform the functions you authorize (e.g., syncing orders, inventory, listings, generating shipping flows, and providing seller-specific analytics).
Does not aggregate or combine data across multiple Selling Partners to provide cross-seller or Amazon-business insights.
Does not resell, publish, or otherwise expose Amazon’s business performance metrics.
Processes Personally Identifiable Information (PII) and Restricted Data strictly in accordance with the Data Protection Policy, including limited retention and strong security controls.
Your use of KoneX with Amazon must also comply with Amazon’s policies. If Amazon restricts or revokes your access, your KoneX functionality may be impacted.
- Acceptable Use
You agree not to use the Services to:
Engage in illegal, fraudulent, harmful, or abusive activities;
Violate any applicable law, regulation, or third-party rights;
Violate marketplace or platform policies (e.g., Amazon, Flipkart, Myntra, Shopify);
Manipulate or attempt to manipulate reviews, ratings, rankings, search results, or the Buy Box;
Scrape, harvest, or export data in violation of marketplace terms or API limits;
Interfere with, disrupt, or attempt to bypass security mechanisms of the Services;
Upload malicious code, malware, or run unauthorized automated scripts or bots;
Access, use, or modify data belonging to another merchant or user without proper authorization;
Use marketplace data for unrelated advertising, data resale, or analytics beyond your own business.
We may suspend or terminate access if we reasonably believe you are in breach of these obligations or pose a legal, security, or reputational risk.
- Subscription Plans, Fees, and Payments
Certain features are provided under paid subscription plans or usage-based pricing.
Plan details, pricing, billing cycles, and included features are shown on our website or in separate commercial documentation or order forms.
By subscribing, you authorize AgileNinjas Tech Private Limited (or its payment processor) to charge your selected payment method for applicable fees.
Unless otherwise specified, subscriptions automatically renew at the end of each term at then-current rates, unless you cancel in accordance with the plan terms.
You are responsible for any taxes, duties, or governmental charges applicable to your use of the Services.
Refunds, if offered, will follow the refund terms stated for the specific plan or as required by law.
- Intellectual Property
All rights, title, and interest in and to the Services, including but not limited to:
The KoneX platform, software, APIs, user interface, workflows, and documentation;
The KoneX and AgileNinjas Tech Private Limited names, logos, and trademarks;
are and will remain the exclusive property of AgileNinjas Tech Private Limited or its licensors.
You retain ownership of:
Your own data, including your catalog, orders, and configuration;
Your branding and internal business information.
You grant AgileNinjas Tech Private Limited a limited, non-exclusive, worldwide license to use, host, and process your data solely as necessary to deliver and improve the Services.
You may not copy, reproduce, distribute, modify, reverse-engineer, or create derivative works of any part of the Services except as expressly permitted by these Terms or applicable law.
- Data Protection and Privacy
Your use of the Services is governed by our Privacy Policy, which explains how AgileNinjas Tech Private Limited, via KoneX, collects, uses, stores, shares, and protects personal and marketplace data.
By using the Services, you acknowledge and agree to the practices described in the Privacy Policy.
In brief, we:
Process marketplace data solely to provide, secure, and improve the Services;
Implement technical and organizational measures such as encryption, access controls, network isolation, and logging;
Comply with applicable data protection and marketplace requirements, including Amazon’s SP-API Data Protection Policy.
- Service Availability and Changes
We strive to provide reliable, high-availability Services, but:
We do not guarantee that the Services will be available at all times or free from interruptions or errors.
We may introduce new features or modify or remove existing features, integrations, or plans as our platform evolves.
We may occasionally need to suspend access for maintenance, upgrades, security patches, or due to force majeure events.
Where reasonably possible, we will provide notice of significant changes or scheduled downtime.
- Term, Suspension, and Termination
These Terms are effective from the time you first access the Services and continue until terminated as described below.
We may suspend or terminate your access (with or without notice) if:
You violate these Terms, our Privacy Policy, or any marketplace policies;
We reasonably believe your use poses a security, legal, or reputational risk;
A third-party platform (such as Amazon) requests suspension or restricts integration due to your behavior or status.
You may stop using the Services at any time and may cancel your subscription according to the applicable plan terms.
Upon termination:
Your right to access and use the Services will end;
We may retain or delete your data in line with our Privacy Policy and legal obligations;
Any provisions that by their nature should survive (e.g., intellectual property, disclaimers, liability limits, indemnity) will remain in effect.
- Disclaimers
To the maximum extent permitted by law:
The Services are provided on an “as is” and “as available” basis, without warranties of any kind.
AgileNinjas Tech Private Limited and KoneX disclaim all express, implied, and statutory warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Services will meet your requirements, be compatible with all systems, be uninterrupted, timely, secure, or error-free.
You are responsible for verifying the correctness of data and configurations for your particular business needs.
- Limitation of Liability
To the maximum extent permitted by law:
AgileNinjas Tech Private Limited, including its directors, officers, employees, and affiliates, will not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including lost profits, lost revenue, lost data, or business interruption, arising out of or relating to the use or inability to use the Services.
Our total aggregate liability for all claims relating to the Services in any 12-month period will not exceed the total fees you paid to us for the Services during that same period.
Some jurisdictions do not allow the exclusion or limitation of certain damages; in such cases, these limitations will apply to the maximum extent permitted by law.
- Indemnification
You agree to indemnify, defend, and hold harmless AgileNinjas Tech Private Limited (KoneX) and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:
Your use of the Services in violation of these Terms or applicable law;
Your violation of any third-party terms (including marketplaces);
Any content, configuration, or data you provide that infringes or misappropriates any third-party rights.
We will notify you of any such claim and provide reasonable assistance, at your expense, in defending it.
- Governing Law and Jurisdiction
Unless otherwise agreed in a specific contract or order form:
If your primary business is based in India, these Terms are governed by the laws of India, and disputes will be subject to the exclusive jurisdiction of the courts located in [Insert City, India].
If your primary business is based outside India, governing law and forum will be as permitted by applicable conflict-of-laws rules and may be further specified in any separate commercial agreement between you and AgileNinjas Tech Private Limited.
